Terms of Service

Effective Date: April 7, 2026

These Terms of Service ("Terms") govern your use of the ChargeWon application, website, and related services (collectively, the "Service") provided by ChargeWon LLC ("ChargeWon," "we," "us," or "our"). By installing ChargeWon, connecting your Stripe account, or using our Service in any way, you agree to be bound by these Terms.

1. Description of Service

ChargeWon is an automated chargeback recovery service for e-commerce merchants. Our Service:

ChargeWon operates on a success-based model — you are only charged when we successfully recover disputed funds.

3. Account Setup and Access

3.1 Shopify Installation. When you install ChargeWon from the Shopify App Store, you grant us access to specific Shopify API scopes (read_orders, read_customers, read_fulfillments) necessary to gather dispute evidence.

3.2 Stripe Connection. By connecting your Stripe account via OAuth, you authorize ChargeWon to: (a) receive webhook notifications about new disputes; (b) read charge, payment, and customer data related to disputed transactions; (c) submit dispute evidence on your behalf; and (d) read prior transaction history for evidence purposes (Visa CE 3.0).

3.3 Read-Only Access. ChargeWon requests only the minimum permissions required. We cannot initiate charges, issue refunds, transfer funds, or modify your Stripe or Shopify settings. We operate in a read-only capacity except when submitting dispute evidence.

4. Fees and Payment

4.1 Success Fee. ChargeWon charges a success fee of 15% of the recovered dispute amount, capped at a maximum of $250 per dispute. This fee is only charged when a dispute is resolved in your favor ("won").

4.2 No Upfront Costs. There are no monthly fees, setup fees, or minimum commitments. If ChargeWon does not win a dispute, you owe nothing.

4.3 Fee Collection. Success fees are collected via Stripe after a dispute is marked as won. By using ChargeWon, you authorize us to collect the applicable success fee from your connected Stripe account.

4.4 Fee Disputes. If you believe a fee was charged in error, contact us at [email protected] within 30 days and we will review and resolve the matter.

5. How ChargeWon Works

5.1 Automated Dispute Handling. Once connected, ChargeWon automatically handles new disputes without requiring action from you. When a chargeback is detected, we gather evidence, generate a rebuttal, and submit it to Stripe — typically within hours of the dispute being created.

5.2 Evidence Sources. Evidence may include: order details, fulfillment records, tracking information, proof of delivery photos, customer communication history, prior purchase history, and billing/shipping address verification.

5.3 AI-Generated Content. Dispute rebuttals are generated using artificial intelligence (Anthropic Claude). While we strive for accuracy and effectiveness, AI-generated content is based on the evidence available and cannot guarantee any specific outcome.

5.4 No Guarantee of Results. ChargeWon makes no guarantee that any particular dispute will be resolved in your favor. Dispute outcomes are ultimately determined by the card networks (Visa, Mastercard, etc.) and issuing banks. Historical win rates are not indicative of future results.

Your privacy is important to us. Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using ChargeWon, you consent to the data practices described in our Privacy Policy.

8. Intellectual Property

The ChargeWon name, logo, website, application, and all related materials are the intellectual property of ChargeWon LLC. You may not copy, modify, distribute, or create derivative works from any part of our Service without our prior written consent.

9. Limitation of Liability

9.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHARGEWON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

9.2 CHARGEWON'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO CHARGEWON IN THE 12 MONTHS PRECEDING THE CLAIM.

9.3 ChargeWon is not responsible for: (a) dispute outcomes determined by card networks or issuing banks; (b) actions taken by Stripe, Shopify, or shipping carriers; (c) losses resulting from your failure to maintain accurate records or provide truthful information; or (d) service interruptions beyond our reasonable control.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DISPUTE WILL BE RESOLVED IN YOUR FAVOR.

11. Termination

11.1 By You. You may stop using ChargeWon at any time by uninstalling the Shopify app and/or disconnecting your Stripe account. Any disputes already in progress will continue to be handled through resolution.

11.2 By Us. We may suspend or terminate your access to ChargeWon if: (a) you violate these Terms; (b) we detect fraudulent or abusive use; (c) your Shopify or Stripe account is suspended; or (d) we discontinue the Service.

11.3 Effect of Termination. Upon termination, we will delete your data within 30 days in accordance with our Privacy Policy. Any outstanding success fees for disputes won prior to termination remain due and payable.

12. Indemnification

You agree to indemnify and hold harmless ChargeWon LLC, its officers, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any fraudulent or misleading information you provide.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Utah.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or through a notice in the ChargeWon dashboard. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
